By accessing or using this website (atherisbio.org) operated by Atheris Bio, you agree to be bound by these Terms & Conditions, our Privacy Policy, and any additional policies or terms referenced herein. If you do not agree, do not use the Site or purchase products.

2) Eligibility

The Site and products are intended for professional and institutional customers (e.g.,
research labs, diagnostics companies, biomanufacturers) and adults over 18. By using the Site, you represent you have authority to enter into these Terms on behalf of yourself or your organization.

3) Account Registration

You may need to create an account to purchase or manage orders. You agree to provide
accurate, current information, maintain the confidentiality of your credentials, and accept responsibility for all activities under your account.

4) Product Use & Regulatory Status

Research Use Only (RUO): Unless expressly labeled otherwise, products are for research use only and not for use in diagnostic procedures, clinical applications, or human/animal therapeutics. Diagnostic / GMP / Therapeutic Use: Products explicitly labeled for IVD, GMP, or other regulated uses must be used strictly in accordance with labeling, documentation, and applicable laws/regulations. User Responsibilities: You are solely responsible for

validation, qualification, and regulatory compliance for your intended use, including method suitability, process validation, and regulatory submissions where applicable.

5) Orders, Acceptance & Availability

All orders are subject to acceptance by Atheris. We may reject or cancel any order due to product availability, compliance screening, pricing or content errors, or suspected fraud. Custom or made-to-order products may have additional terms (e.g., specifications, lead time, cancellation limits).

6) Pricing, Taxes & Payment

Prices shown are exclusive of taxes, duties, shipping, and handling unless stated otherwise. You are responsible for all applicable sales/use taxes, VAT/GST, import duties, and related fees. Payment terms: [e.g., Net 30 days from invoice]. Late payments may incur interest at [e.g., 1.5% per month] or the maximum allowed by law. We may suspend shipments for overdue accounts.

7) Shipping, Cold Chain & Risk of Loss

you upon delivery to the carrier. Certain products require cold-chain or temperature-
controlled packaging. You agree to promptly refrigerate/freeze per labeling upon receipt and to maintain appropriate storage conditions. Delivery timelines are estimates and not guaranteed. We are not liable for delays caused by carriers or events beyond our control.

8) Inspection, Non-Conformance & Returns

Inspect upon receipt and notify Atheris within [5–10] business days of any damage,
shipment error, or product non-conformance with supporting evidence. Returns require a Return Material Authorization (RMA) and are accepted only for eligible products
(unopened, within shelf life, compliant storage, and not custom/made-to-order), unless
defective. Hazardous or temperature-sensitive products may have restricted return
eligibility. For validated non-conformances, Atheris may, at its option, repair, replace, or
refund the product price.

9) Quality, Performance & Reproducibility

We design products for high performance, reliability, and reproducibility; performance may vary due to user methods, sample matrices, instruments, and environmental conditions. Certificates (e.g., CoA, SDS, technical datasheets) are provided where applicable. You are responsible for method optimization and verification in your specific system.

10) Warranties & Disclaimers

Limited Warranty: Atheris warrants that products will conform to published specifications at the time of shipment and through expiry when stored per label. Exclusions: No warranty for misuse, improper storage, unauthorized modifications, or use contrary to documentation. Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODUCTS AND THE SITE ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE.’ WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHERIS SHALL NOT BE LIABLE FOR
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SITE OR PRODUCTS. Our total liability for any claim is limited to the amount you paid for the product(s) giving rise to the claim.

12) Safety, Handling & Biosafety

You agree to comply with applicable biosafety, chemical safety, and hazardous materials
laws, and to use products solely by trained personnel with appropriate PPE, engineering
controls, and waste disposal protocols. Consult Safety Data Sheets (SDS) and product
documentation prior to use.

13) Sustainability

We strive to reduce environmental impact via material selection, packaging, and processes. You agree to dispose of materials responsibly per local regulations.

14) Intellectual Property & License

All content, trademarks, trade dress, and product IP on the Site are owned by Atheris or its licensors. Purchasing a product grants a limited, non-exclusive license to use it solely for its intended, lawful purpose. You may not reverse engineer, decompile, or create derivative works of products or documentation except as permitted by law.

15) Confidentiality

Any non-public information disclosed by Atheris (e.g., protocols, compositions, performance data, pricing) is confidential and may not be disclosed or used beyond the purchase relationship unless expressly permitted.

16) Export Controls & Sanctions

You agree to comply with U.S. and international export control and sanctions laws (e.g.,
EAR, ITAR, OFAC) and not transfer products or technology to prohibited destinations or
parties. We may screen orders and cancel if restricted by law.

17) Anti-Diversion & Ethical Use

You will not resell, repackage, or redistribute products without prior written consent, and will not use products in illegal or unethical activities.

18) Open-Source / Third-Party Components

Where products or software include third-party components, you agree to the applicable third-party licenses.

19) User Content & Submissions

Any feedback or suggestions you provide may be used by Atheris Bio without obligation or compensation. Do not submit proprietary or confidential information unless under a separate written agreement.

20) Privacy & Data Protection

Our Privacy Policy explains how we collect and process personal data. By using the Site, you consent to such processing. For regulated customer data (e.g., protected health information, clinical data), additional agreements may be required; do not upload such data to the Site.

21) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control
(e.g., natural disasters, epidemics, labor disputes, supply chain disruptions, governmental actions).

22) Governing Law, Venue & Dispute Resolution

These Terms are governed by the laws of [State], without regard to conflict of law rules.
